According to Tesla’s filing on September 5, the company is asking shareholders to approve a record-breaking compensation plan for CEO Elon Musk. If Tesla meets a series of ambitious milestones over the next decade, Musk could receive 423 million restricted shares across 12 tranches, worth up to $975 billion at current stock prices.

The plan would also secure Musk’s long-desired 25% voting power in Tesla.

Market Reaction & Ambitious Targets

Following the announcement, Tesla’s stock surged by 5% intraday on September 6 before closing up 2.53%, bringing its market cap to $1.12 trillion.

To unlock the first tranche, Tesla’s market value must double to $2 trillion. The ultimate target is $8.5 trillion, roughly eight times today’s valuation and more than double Nvidia’s current market cap.

Dual Triggers: Valuation + Performance

The 10-year plan is divided into 12 stages, each equal to 1% of Tesla’s equity.

  • Market cap milestones start at $2T and rise to $8.5T.
  • Each step must also meet financial or operational targets, such as adjusted EBITDA from $50 billion to $400 billion (24x current levels).

Four major product milestones are included:

  1. Delivering 20 million vehicles in total;
  2. Sustaining 10 million active FSD subscriptions for at least 3 months;
  3. Delivering 1 million humanoid robots;
  4. Operating 1 million Robotaxis simultaneously in commercial service.

Chair Robyn Denholm stated: “If Elon hits these extraordinary milestones, he earns 1% of Tesla’s equity for every $500 billion increase in market cap.”

Background: A Long Battle Over Pay

Tesla and Musk have been locked in years of disputes over compensation:

  • 2018: A $56B pay deal triggered shareholder lawsuits.
  • Jan 2024: Delaware court struck it down, citing excessive size and board influence.
  • Aug 2024: The board approved another package worth nearly $30B (96M shares).
  • Musk has repeatedly threatened to leave Tesla if denied greater control.

Now, with this near-$1 trillion incentive plan, Tesla is betting big on Musk’s leadership to drive its next growth chapter.
